yeebee Limited Terms and Conditions

These Terms and Conditions ("Agreement") govern the use of our social-commerce mobile software application (“App”), our website yeebee.com ("Website"), and the purchase of products and services ("Products") provided by yeebee Limited ("Company") to customers ("Customers" or "You"). By accessing and using our App or Website you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, please refrain from using our App or Website and purchasing our Products.

Data Protection Legislation means as applicable and binding on either Party or the Services: (i) the GDPR (meaning General Data Protection Regulation (EU) 2016/679, as it forms part of applicable domestic law (including as further amended or modified by the laws of the United Kingdom or of a part of the United Kingdom from time to time)); (ii) the Data Protection Act 2018 (in respect of the UK); (iii) any local laws which implement or supplement any such laws; and (iv) any laws that replace, extend, re-enact, consolidate or amend any of the foregoing; (v) any relevant data protection laws and regulations applicable to (a) the Goods; (b) any territory in which Services are provided; and/or (iii) the Customer as a result of the country it is registered or established or operates in.

General Terms

1.1 Acceptance: By accessing or using our App or Website and Pledging for/Purchasing our Products, you acknowledge that you have read, understood, and agree to comply with this Agreement and any additional terms and conditions incorporated herein.

1.2 Eligibility: You must be at least 18 years old and capable of entering into a legally binding agreement to use our App, Website and purchase our Products. If you are accessing the App or Website on behalf of a company or entity, you represent and warrant that you have the authority to bind that company or entity to this Agreement.

1.3 Modification: We reserve the right to modify, update, or amend this Agreement at any time without prior notice. Any changes to this Agreement will be effective immediately upon posting on the App and/or Website. Your continued use of our App, Website and purchase of our Products after any modifications to this Agreement constitutes your acceptance of such changes.

Product Information

2.1 Description: We strive to provide accurate and up-to-date information about our Products on the App and/or Website. However, we do not warrant that the information is error-free, complete, or current. The images and descriptions of the Products on the App and/or Website are for illustrative purposes only, and the actual Products may vary.

Pledging, Pricing and Payment

3.1 Pledging: By pledging to purchase a product you are committing to purchase the selected  product when the period of the offer closes under the terms and conditions of this Agreement. To purchase our Products, you must follow the instructions on how to Pledge on the App and/or Website.

3.2. Purchase Limits: yeebee may limit the maximum number of units customers are able to purchase per pledge/offer.  The maximum number of units may vary depending on the product on offer.

3.2 Pricing: The prices displayed on our App and/or Website are in Pounds Sterling (GBP). We make every effort to ensure accurate pricing, but in the event of a pricing error, we reserve the right to cancel or refuse any orders placed at the incorrect price. Any applicable taxes or additional charges will be clearly displayed during the checkout process.  The final Price you pay may be lower than the maximum price indicated at the time of the purchase and is linked to the total number of people purchasing. The amount of any reduction associated with the group purchasing will be clearly indicated. 

3.3 Acceptance of Orders: We reserve the right to accept or reject any Pledge/order at our sole discretion. Upon receipt of your Pledge, we will send you a Pledge confirmation via email, which does not signify our acceptance of your Pledge but acknowledges that we have received it.

3.4 Fraudulent Activity: in case of suspected fraud or attempts to manipulate the price e.g. many fraudulent pledges are placed that then cancel their orders leaving a single individual with the best price - we reserve the right to amend the final deal price and/or cancel any pledge/order at our sole discretion.

3.5 Re-sale for commercial purposes: yeebee’s social commerce platform and the offers we provide are primarily aimed at benefiting groups of individuals and for their personal use. If we believe that a pledge or multiple pledges are being placed for the purpose of onward resale on other platforms for commercial gain, we may cancel your pledge(s) at our discretion. 

3.6 Payment: All payments for Products must be made using the available payment methods in the App. You agree to provide accurate and complete payment information. The payment process is subject to the terms and conditions of our payment service providers.

3.7 Shipping and Delivery: We will make reasonable efforts to deliver the Products within the estimated timeframe provided. However, delivery dates are approximate and may be affected by circumstances beyond our control. Any delivery delays will not entitle you to cancel the order or claim compensation, unless otherwise specified by applicable law.  We only ship to addresses on the mainland of the United Kingdom.

Returns and Refunds

4.1 Return Policy: If you are not satisfied with a Product, you may return it in accordance with our Return Policy, which can be found in the App.

4.2 Refunds: Refunds will be processed in accordance with our Refund Policy, which can be found in the App. We reserve the right to refuse refunds for Products that have been opened, used, damaged, or altered by the Customer.

Intellectual Property

5.1 Ownership: All intellectual property rights, including trademarks and logos (unless owned by a 3rd Party Supplier e.g. Apple), designs, and copyrights, displayed on the App and/or Website are the property of the Company. Nothing in this Agreement grants you any rights to use our intellectual property without our prior written consent.

Limitation of Liability

6.1 Disclaimer: To the fullest extent permitted by applicable law, the Company disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the accuracy, reliability, or completeness of the information on the App or Website.

6.2 Limitation of Liability: In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of our Website, App or the purchase of our Products. Our total liability to you for any claim, whether in contract, tort, or otherwise, shall not exceed the amount paid by you for the Products in dispute.

6.3. Manufacturer's warranty: Manufacturers may offer a warranty on their products, either for free or at a cost. These warranties are provided by the manufacturer in addition to your consumer rights, and do not replace or limit your consumer rights in any way.  The coverage and duration of a manufacturer's warranty may vary, but it typically covers the repair or replacement of your product for free if it develops a fault within a certain period of time.

Data Processing

7.1 We process data in accordance with relevant Data Protection Legislation.  More information about what information we collect, how it is processed and your rights can be found in the ‘yeebee Data Privacy Policy’ which can be found on our website and App.

Governing Law and Dispute Resolution

8.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of England & Wales. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of England & Wales.

8.2 Dispute Resolution: Any disputes or claims arising from or in connection with this Agreement shall first be attempted to be resolved amicably through good-faith negotiations between the parties. If the parties are unable to resolve the dispute through negotiation, either party may initiate legal proceedings in accordance with Clause 8.1.

Miscellaneous

9.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations, whether written or oral.

9.2 Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

9.3 Waiver: The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of such provision or the right to enforce it in the future.
